We support enterprises in all matters covered by company and corporate law:
For example we advise on selecting the right legal form and check throughout the country on the intended choice of name. We prepare all the documents connected with setting up the company. We assist in incorporating enterprises into group structures, and where necessary adapt direct control contracts. We also draft contracts of employment with general managers and directors.
We arrange placement of companies created in advance of needs in the legal forms of GmbH (limited) and AG (plc) that are made available by Fact Verwaltungs- und Beratungsgesellschaft mbH, a company for which the partners in our law firm are responsible, and can be transferred within a few hours.
In the case of restructuring we provide strategic advice and draft the documents for conversions, mergers and splits. We help with capital increases and transfer of shares. Our activities also include shareholder buy-outs and integration of venture capital.
In mergers & acquisitions we advise on and steer procedures and supply all the necessary documents. Depending on clients' wishes we conduct or support the contract negotiations. We review matters under the aspects of cartel law and report the transactions to the competent German or European authorities.
A further key area of our activities comprises privatisation of municipal undertakings. If necessary we steer tender proceedings, advise and represent in proceedings under municipality rights of supervision and integrate municipal policy aspects in our consultations.
We accompany in particular young start-up enterprises when they go public. These activities include strategic consultancy on procedural matters, preparatory structuring measures including any change of legal form or revision of the articles of incorporation, advice on contracts with the supporting banks and drafting or reviewing the prospectus accompanying the listing application.
It goes without saying that we stand by the side of the private and public sector undertakings we support in all other matters of business law too. Our scope of activities extends from labour law through commercial law, general contract and sales law, up to penal law concerning business affairs.
